PLEASE READ THIS AGREEMENT CAREFULLY. By downloading, installing, activating, or using NetSpot, you agree to be bound by it. If you do not agree, do not install or use the software.
This End-User License Agreement (the “Agreement”) is a legal agreement between you (“you”, “your”, or “Licensee”) and Etwok Inc., a Delaware corporation, 122 Delaware Street #B-4, New Castle, DE 19720, USA (“Etwok”, “we”, “us”), and governs your use of the NetSpot software application and its documentation (the “Software” or “NetSpot”).
If you are entering into this Agreement on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
1. Definitions
- “Software” / “NetSpot” means the NetSpot application in object-code form, in any edition (including free, PRO, and Enterprise), together with its documentation, and any Updates and New Releases provided to you under this Agreement.
- “Updates” means bug fixes, patches, minor revisions, and maintenance releases of the Software (for example, a change indicated by a minor version number).
- “New Releases” (Major Versions) means major new versions of NetSpot (for example, a change indicated by a new whole version number, such as 6.0).
- “License Key” means the key or credential that activates your license and identifies its type and scope.
- “Authorized User” means the individual permitted to use a given license. A license is personal to that user; generic, shared, or group email addresses are not valid Authorized Users.
- “Subscription” means a license granted for a recurring term (the PRO Annual and Enterprise Annual plans).
- “Lifetime License” means a one-time-purchase, perpetual license (the PRO Lifetime and Enterprise Lifetime plans), as described in Section 4.
- “Merchant of Record” / “MoR” means Paddle, Stripe, or other payment providers, which sell NetSpot licenses to you and handle payments and taxes.
2. License grant
Subject to your compliance with this Agreement and payment of any applicable fees, Etwok grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software as follows, according to the plan you obtain:
- NetSpot Free. A free edition for personal and evaluation use, provided subject to this Agreement and to Section 12 (Free Version).
- Free trial. Where offered (for example, a time-limited full-featured trial), the Software is licensed only for evaluation during the trial period and subject to this Agreement.
- PRO (Annual or Lifetime). A license for one Authorized User. The Authorized User may install and use NetSpot on no more than one device at a time, in accordance with the license terms (see Section 5).
- Enterprise (Annual or Lifetime). An organizational license for the number of seats/Authorized Users purchased, subject to Section 6.
- Technician License (free, supplementary). A free supplementary license that cannot be purchased on its own and is available only in addition to a NetSpot PRO or Enterprise license. It lets an Authorized User view, analyze, and export existing NetSpot projects that were created on another computer, but does not permit performing new WiFi surveys or new WiFi planning. You receive one (1) Technician License with NetSpot PRO, and up to ten (10) technician activations with NetSpot Enterprise. Technician License codes may be requested from our support team at onair@netspotapp.com after purchase. A Technician License is subject to this Agreement and remains valid only for as long as the PRO or Enterprise license it supplements; it ends when that license ends.
Etwok reserves all rights not expressly granted.
3. Subscriptions and automatic renewal (PRO Annual, Enterprise Annual)
The Annual plans are subscriptions that automatically renew. Before you buy, the renewal term, frequency, and price are disclosed to you, and you consent to them at checkout.
- Auto-renewal. Your subscription renews automatically at the end of each term at the then-current price, unless you cancel before the renewal date.
- How to cancel. You can cancel at any time through the account or billing management provided by our Merchant of Record (see Section 1) or the app store you purchased through; cancellation is as easy as signing up. After cancellation, your license remains active until the end of the paid term.
- Reminders and price changes. We (through our Merchant of Record) will send renewal reminders and advance notice of any price change before it applies, consistent with applicable law.
- EU/EEA/UK withdrawal. If you are a consumer in the EU/EEA/UK, you have a statutory right to withdraw within 14 days. Because NetSpot is digital content supplied immediately, by starting to use it you request immediate performance and acknowledge that your withdrawal right ends once use begins, to the extent permitted by law.
Refund terms are set out in the NetSpot Refund Policy, which is incorporated by reference.
4. Lifetime Licenses (PRO Lifetime, Enterprise Lifetime)
A Lifetime License is a one-time purchase that grants a perpetual right to use NetSpot, and includes all future Updates and all future New Releases (major versions) at no additional cost, for as long as Etwok continues to offer and support the NetSpot product.
“Lifetime” refers to the supported lifetime of the NetSpot product. It does not mean your personal lifetime and is not a guarantee that NetSpot will remain available indefinitely; if Etwok discontinues NetSpot entirely, the license and Etwok’s obligations end at that point. A Lifetime License is otherwise perpetual, tied to your purchase-email identifier, and subject to this Agreement.
5. Activation and license verification
To activate the Software you may need a License Key and to activate online. The Software includes technological measures designed to prevent unlicensed use, and it periodically connects to Etwok’s server to verify that your license is valid.
- What is transmitted. License verification transmits license and activation information only. It does not transmit your surveys, network data, or location data. Etwok does not collect personally identifying information from your device during activation beyond what is needed to validate the license.
- Offline activation. The desktop editions of NetSpot support a built-in offline activation method for users who prefer not to connect. Once activated, NetSpot can be used fully offline (see Section 7).
- Reactivation. You may need to reactivate if you change your device or hardware.
- If verification fails. If the Software cannot be activated or a license is found to be invalid or used in breach of this Agreement, functionality may be reduced or the license suspended or terminated.
6. Enterprise terms
For Enterprise plans:
- Authority. The individual accepting this Agreement represents they are authorized to bind the organization, and the organization is the Licensee.
- Seats. The Software may be used by the number of Authorized Users (seats) purchased. Each seat is personal to one Authorized User; shared or group accounts are not permitted. Each seat is activated and identified by the unique hardware ID of the device it was first used on. You may reassign seats a certain number of times but not indefinitely. Each such reassignment requires a full reset of all Authorized Users within your account. Multiple consecutive resets may trigger an account hold, which may require a call or an email to our support team.
- Responsibility. You are responsible for your Authorized Users’ compliance with this Agreement.
- Audit. Where you are an organization, Etwok may, on reasonable prior notice and no more than once every twelve (12) months, ask you to confirm that your use matches your purchased licenses.
7. Your data and the offline guarantee
Your data stays with you. NetSpot processes your WiFi surveys, scans, heatmaps, network data, and location locally on your device. We never collect this data automatically or send it to Etwok’s servers — it stays with you unless you choose to send it to us yourself (for example, with a support
request). Etwok claims no ownership of it; it is yours.
NetSpot is capable of working completely offline. You may run NetSpot entirely offline — granting it access only to your local WiFi adapter — and still obtain full results (within logical feature limitations), under your complete control, with the assurance that no data leaks to the global network.
Anonymized analytics (optional). NetSpot may send anonymous, aggregated usage statistics used solely to improve the product. This data does not identify you, and you can disable it at any time in NetSpot Preferences. Etwok’s collection and use of any personal data, and your rights, are described in the NetSpot Privacy Policy.
8. Restrictions
You will not, and will not permit any third party to:
- share, sell, rent, lease, lend, sublicense, distribute, or transfer the Software or your License Key, except as expressly permitted;
- use the Software other than by a permitted Authorized User;
- reverse engineer, decompile, disassemble, or attempt to derive the source code, except to the extent applicable law expressly permits despite this restriction;
- use the Software to build a competing product or service, or to train or develop any machine-learning or AI model;
- make the Software’s functionality available to third parties as a service bureau, hosted service, or similar arrangement;
- modify, adapt, or create derivative works of the Software;
- use the Software to store or transmit unlawful, infringing, or malicious material or code;
- circumvent or interfere with license, security, or activation features; or
- remove or alter any proprietary notices.
9. Your License Key
Your License Key is personal to you. You may not give away, sell, publish, or otherwise transfer your License Key to anyone else. Etwok reserves all rights and remedies, including claims for damages and costs, arising from unauthorized distribution of a License Key.
10. Feedback
If you send Etwok suggestions, ideas, or feedback about NetSpot, you grant Etwok a royalty-free, worldwide, perpetual right to use and incorporate that feedback into its products and services without restriction or obligation to you.
11. Fees, taxes, and refunds
Fees are as shown at checkout. Fees are exclusive of taxes; where Etwok’s Merchant of Record or another provider is responsible for collecting tax, applicable taxes are added at checkout. Refunds are governed by the NetSpot Refund Policy. Purchases made through an app store are subject to that store’s refund policies.
12. Free Version
NetSpot Free and any free trial are provided “as is,” without warranty of any kind, and Etwok has no liability whatsoever in connection with the free version. Etwok may modify, limit, or discontinue the free version at any time, without notice and without liability.
13. Ownership
Etwok and its licensors own all right, title, and interest in and to the Software, including all intellectual-property rights, including in any Updates, New Releases, and modifications. Your rights are limited to those expressly granted here; all other rights are reserved.
14. Warranty and disclaimer
Etwok warrants that it has the right to license the Software to you, and will use commercially reasonable efforts to deliver the Software free of malware.
Except for the two statements above, the Software is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the Software will be uninterrupted, error-free, or meet your requirements. Because NetSpot offers a free version and a free trial, you can evaluate it fully before purchasing.
Nothing in this Agreement excludes or limits any warranty, guarantee, or right that cannot be excluded or limited under the law that applies to you (for example, statutory consumer guarantees in the EU, UK, or Australia). Where implied warranties cannot be disclaimed, they are limited to the minimum period and extent permitted by applicable law.
15. Limitation of liability
To the maximum extent permitted by law, Etwok and its suppliers and licensors will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, revenue, data, goodwill, or business interruption, arising out of or relating to the Software or this Agreement, even if advised of the possibility.
Etwok’s total aggregate liability arising out of or relating to this Agreement will not exceed the amount you paid for the license that gave rise to the claim (and Etwok has no liability for the free version).
High-risk use. NetSpot is a WiFi analysis tool and is not designed for use in environments where its failure could lead to death, personal injury, or severe physical or environmental damage. You will not use it in such environments.
Non-excludable liability. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.
16. Term and termination
This Agreement is effective until terminated or, for Subscriptions, until the subscription ends. It terminates automatically if you breach it. On termination, you must stop using the Software and destroy your copies. Sections that by their nature should survive (including ownership, restrictions, disclaimers, limitation of liability, governing law, and this sentence) survive termination.
17. Export control
You will comply with all applicable export and sanctions laws, and you represent that you are not located in, or a national or resident of, an embargoed country, and are not on any restricted-party list.
18. U.S. Government end users
The Software is a “Commercial Item” as defined in 48 C.F.R. §2.101, and may be licensed to U.S. Government end users only with the rights granted to all other end users under this Agreement, consistent with 48 C.F.R. §12.212 and §227.7202.
19. Force majeure
Etwok is not liable for any delay or failure to perform due to causes beyond its reasonable control, including natural disasters, war, terrorism, government action, labor disputes, pandemics, or failures of telecommunications or internet infrastructure.
20. Assignment
You may not assign or transfer this Agreement without Etwok’s prior written consent. Etwok may assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of assets.
21. Governing law and venue
This Agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, and excluding the UN Convention on Contracts for the International Sale of Goods. The state and federal courts located in Delaware have exclusive jurisdiction, and you consent to that venue. Notwithstanding the foregoing, Etwok may seek injunctive or other equitable relief to protect its intellectual property in any court of competent jurisdiction.
22. Time limit for claims
Any claim arising out of or relating to this Agreement must be brought within one (1) year after the claim arose, except where applicable law requires a longer period (including for intellectual-property claims).
23. Mobile app stores
If you obtain NetSpot through the Apple App Store or Google Play, the following also apply:
- This Agreement is between you and Etwok only, not with Apple or Google, and Etwok (not the app store) is responsible for the Software.
- Your use must comply with the app store’s terms of service.
- Apple: you acknowledge that Apple has no obligation to provide maintenance or support for NetSpot; that, to the extent required, Apple’s warranty responsibility is limited to a refund of the price (if any); and that Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you.
24. Eligibility
You must be at least 13 years old to use NetSpot, or at least 16 if you are in the European Economic Area, where that is the applicable age for digital consent.
25. Security and vulnerability reporting
We welcome reports of security vulnerabilities. If you or a security researcher discovers a potential security issue in NetSpot or our related services, please report it privately to onair@netspotapp.com — or through our Vulnerability Disclosure Policy — rather than disclosing it publicly. Please give us a reasonable opportunity to investigate and remediate before any public disclosure, and, in the course of your research, do not access, modify, or delete data that isn’t yours, degrade our services, or break any applicable law.
Good-faith security research conducted in accordance with our Vulnerability Disclosure Policy is authorized under this Agreement. To that extent, and notwithstanding the restrictions in Section 8, we will not treat such research as a breach of this Agreement, and we will not pursue or support legal action against researchers for accessing or analyzing the Software as reasonably necessary for that research. This authorization does not cover actions that harm users, exfiltrate personal data, or continue after we ask you to stop.
26. Third-party and open-source components
NetSpot includes third-party open-source software, provided subject to its own license terms. Those licenses govern your use of the respective components and are acknowledged below, by platform. For the macOS, Windows, and Android editions, the full copyright statements and complete license texts for these components (including any required NOTICE files) are reproduced in the THIRD-PARTY-NOTICES.txt file included with the Software.

The Android edition also uses proprietary Google SDKs and services — including Google Play services, Google Play Billing, Google Play In-App Review, and Google Analytics for Firebase — which are subject to the applicable Google terms, policies, and license agreements.
27. General
This Agreement, together with the Privacy Policy and Refund Policy referenced above, is the entire agreement between you and Etwok regarding the Software and supersedes prior agreements on this subject. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the rest remains in effect. Etwok’s failure to enforce a provision is not a waiver. English governs this Agreement; a translation, if any, is for convenience only and the English version controls. We may update this Agreement; material changes take effect on posting or as otherwise notified, and continued use means acceptance.
